1. Acceptance of Terms

By accessing or using Cotrader ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Cotrader is an AI-powered trade analysis tool that helps you validate potential trades against your personal trading rules. The Service:

• Stores your trading system rules and parameters
• Analyzes trade ideas using AI (Claude by Anthropic)
• Provides feedback based on your rules and current market data (15-minute delayed)
• Maintains a history of your trade analyses

3. User Accounts

To use the Service, you must:

• Be at least 18 years old
• Provide accurate information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to transmit malicious code or spam
• Violate any applicable laws or regulations
• Share your account credentials with others
• Use the Service to manipulate markets or engage in illegal trading activities

5. Subscription and Payment

Cotrader offers a 7-day free trial. After the trial period:

• You will be charged the subscription fee unless you cancel
• Subscriptions automatically renew unless cancelled
• You may cancel at any time through your account settings
• Refunds are provided on a case-by-case basis at our discretion
• We reserve the right to change pricing with 30 days' notice

6. Intellectual Property

The Service, including all software, design, text, graphics, and other content, is owned by Cotrader, LLC and protected by copyright and other intellectual property laws.

You retain ownership of your trading system data and trade analyses. By using the Service, you grant us a license to use this data to provide and improve the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

• Accuracy of AI-generated analysis
• Timeliness or accuracy of market data (data is 15-minute delayed)
• Profitability of trades
• Uninterrupted or error-free service
• That the Service will meet your specific requirements

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for any trading losses or financial damages
• Our total liability is limited to the amount you paid in the last 12 months
• We are not liable for indirect, incidental, or consequential damages
• You use the Service at your own risk

9. Indemnification

You agree to indemnify and hold harmless Cotrader, LLC from any claims, damages, or expenses arising from your use of the Service, violation of these terms, or violation of any rights of a third party.

10. Termination

We may terminate or suspend your account:

• For violation of these terms
• For suspected fraudulent activity
• If required by law
• At our discretion with or without notice

Upon termination, your right to use the Service immediately ceases. You may request export of your data within 30 days.

11. Changes to Terms

We may modify these terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the new terms.

12. Governing Law

These terms are governed by the laws of the State of Illinois, without regard to its conflict of law provisions.

13. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in the State of Illinois. Judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Cotrader, LLC.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@getCotrader.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration clause.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and Cotrader, LLC regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
